HHACompliance.com ("HHAC") welcomes you to a new world in regulatory and accreditation compliance. Our secure, confidential web site offers you the convenience and expertise of HHAC software that costs tens of thousands of dollars to produce and significant sums of money to ensure that it is current with changes in the federal law and accreditation requirements. This Agreement sets forth the terms and conditions for your use of this HHAC On-line Web site. Your use of this site indicates your agreement to these terms and conditions. This Agreement (the "Agreement") is between you and HHACompliance.com ("HHAC"), a Maine corporation with a principal place of business at 202 US Route 1, Falmouth, Maine, 04105.

1. HHAC DATA AND ON-LINE SOFTWARE.

HHAC grants you a non-exclusive, non-transferable, limited right to access, use and display this Web site (the "Site") and the materials provided hereon, provided that you comply fully with this Agreement. The contents of the Site are only for your use. You agree not to interrupt, or attempt to interrupt, the operation of the Site in any way.

2. FEE-BASED SERVICE CHARGES.

Certain components or functionality of this site are available only through the purchase of a site subscription ("Fee-Based Services").

  1. You agree to pay, using a valid credit card (which HHAC accepts) or valid check, the monthly subscription charges set forth on the Site, applicable taxes, and other charges incurred on your account in order to access Fee-Based Services. HHAC reserves the right to increase fees, surcharges, and site subscription fees, or to institute new fees at any time, upon a 90-day notice posted in advance on this Site. HHAC will automatically charge your account for renewal of your monthly site subscription. The charge will be identified on your monthly statement as "HHACompliance.com". The renewal charge will be the same as the prior month's charge, unless otherwise notified in advance. In the event HHAC cannot charge your account, we reserve the right to terminate your access to the Fee-Based Services. There is a twenty-dollar surcharge if your check is returned. Discontinuation of your subscription will be honored with a 30-day written or verbal notice.
  2. In addition to the charges set forth above, you are responsible for all charges associated with connecting to the Site, including, without limitation, all telephone access lines (including long-distance charges, when applicable), telephone and computer equipment and any service fees necessary to access the Fee-Based Services.
  3. For purposes of identification and billing, you agree to provide HHAC with accurate, complete, and updated information required by the site subscription registration to the Fee-Based Services ("Registration Data"), including your legal name, address, telephone number(s), and applicable payment data (e.g., credit card number and expiration date, bank routing number and account number(s)). Failure to comply with this provision may result in immediate suspension or termination of your right to use the Fee-Based Services.
  4. You agree to promptly update your Registration Data in writing in the event of any known or suspected unauthorized use of your subscription, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password or credit card information. In the event of a breach of security, you will remain liable for any unauthorized use of your subscription until you update your Registration Data. If your credit card expires, is canceled, is lost or is subject to use without your authorization, or if your subscription is subject to use without your authorization, please contact HHAC immediately.

3. RATES.

Monthly subscription rates to the following on-line HHAC programs are as follows:

  • PowerPath: Point of Care and OASIS-specific care-plans, standard visit schedules $79
  • PPS Preparation Program: Pathways, Visit Schedules, Utilization Software $249
  • Patient Care Reports includes HCFA485 $249
  • Scheduling $349
  • Accreditation Preparation includes PPS and Patient Care Reports $349
Payment is by credit card (MasterCard, Visa) or check and will be billed under the heading "HHACompliance.com". If you have any difficulty subscribing to or accessing the subscribers-only area after you have subscribed, it may be because the browser and/or network you are using cannot handle secure connections using the SSL

4. COPYRIGHT AND TRADEMARKS.

All materials on the Site, including without limitation text, images, software and Fee-Based Services (collectively, the "Content") are owned or controlled by HHAC, which retains all right, title, and interest in and to the Content. The Site and Content are both protected by the copyright and trademark laws of the United States, other countries, international conventions, and other applicable laws. You agree not to use any trademarks, service marks, names, logos, or other identifiers of HHAC without the prior written permission of HHAC.

5. COMMUNICATING WITH THE SITE.

You are solely responsible for the content of any data you transmit to the Site (data entry) or any materials you add to the Site, including to any Forum (the "Communications"). You shall not upload to, or distribute to, or otherwise publish through the Forums any Communication which

  1. Is for commercial purposes or otherwise advertises or solicits for the sale of goods or services;
  2. Is obscene, indecent, pornographic, profane, sexually explicit, or abusive;
  3. Constitutes or contains false or misleading indications of origin or statements of fact;
  4. Slanders, libels or defames any person or entity;
  5. Causes injury of any kind to any person or entity;
  6. Infringes or violates the intellectual property rights, contract rights, or any other rights of any third party;
  7. Violates any applicable laws, rules, or regulations or
  8. Contains software viruses or any other malicious code designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

6. UNSOLICITED E-MAIL.

You agree not to use the Site to send the same or substantially similar unsolicited electronic mail messages, whether commercial or not, to a large number of recipients. This prohibition includes sending unsolicited mass mailings from another Internet service, which in any way involves the use of the Site or any equipment owned or operated by HHAC in connection with the Site. For purposes of this provision, merely making one's e-mail address accessible to the public shall not constitute a request or invitation to receive messages.

7. PASSWORD, SINGLE-USER AND MULTI-USER LICENSE.

As part of the registration process, you will be issued a password. You may also purchase additional passwords. You are solely responsible for maintaining the confidentiality of any password you use to access the Fee-Based Services, and agree that HHAC will have no obligations with regard thereto. Furthermore you understand that you are purchasing the right for you alone - a single user - to access and utilize the materials on the HHAC Site. You specifically agree not to transfer, lend, assign, or otherwise allow anyone, other than yourself, to use your password or to use the HHAC Site. If you purchase additional passwords, you are purchasing the right to allow multiple Users from your Organization to access and utilize the materials on the HHAC Site. Likewise, each User specifically agrees not to transfer, lend, assign, or otherwise allow anyone, other than the User, to use the password or to use the HHAC Site.

8. PRIVACY AND SECURITY STATEMENT.

HHAC warrants that this site is a secure site to the best extent that today's technology provides. For a more complete statement of our privacy policy please see Safety and Security of Your Records.

9. GOVERNING LAW/DISPUTES/JURY WAIVER.

This Agreement shall be governed by and construed in accordance with the laws of the State of Maine, which shall have the jurisdiction to resolve any and all disputes arising between the parties to this Agreement. The parties further agree that in the event that a lawsuit is filed in the State of Maine to resolve a dispute arising in connection with this Agreement, the lawsuit shall proceed to completion before a Judge, the parties having specifically waived the right to have a jury trial.

10. ENTIRE AGREEMENT.

This Agreement constitutes the entire Agreement of the parties with respect to the subject matter of this Agreement. It can only be amended in writing, signed by both parties. In the event that any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall be valid and enforceable to the fullest extent provided by the law, unless to do so would defeat the purpose of the Agreement.
