This Agreement sets forth the terms and conditions for your use of this HHAC On-line Web site. Your use of this site indicates your agreement to these terms and conditions. This Agreement (the "Agreement") is between you and HHACompliance.com ("HHAC"), a Maine corporation with a principal place of business at 202 US Route 1, Falmouth, Maine, 04105. 1. HHAC DATA AND ON-LINE SOFTWARE. HHAC grants you a non-exclusive, non-transferable, limited right to access, use and display this Web site (the "Site") and the materials provided hereon, provided that you comply fully with this Agreement. The contents of the Site are only for your use. You agree not to interrupt, or attempt to interrupt, the operation of the Site in any way. 2. FEE-BASED SERVICE CHARGES. Certain components or functionality of this site are available only through the purchase of a site subscription ("Fee-Based Services").

4. COPYRIGHT AND TRADEMARKS. All materials on the Site, including without limitation text, images, software and Fee-Based Services (collectively, the "Content") are owned or controlled by HHAC, which retains all right, title, and interest in and to the Content. The Site and Content are both protected by the copyright and trademark laws of the United States, other countries, international conventions, and other applicable laws. You agree not to use any trademarks, service marks, names, logos, or other identifiers of HHAC without the prior written permission of HHAC. 5. COMMUNICATING WITH THE SITE. You are solely responsible for the content of any data you transmit to the Site (data entry) or any materials you add to the Site, including to any Forum (the "Communications"). You shall not upload to, or distribute to, or otherwise publish through the Forums any Communication which
6. UNSOLICITED E-MAIL. You agree not to use the Site to send the same or substantially similar unsolicited electronic mail messages, whether commercial or not, to a large number of recipients. This prohibition includes sending unsolicited mass mailings from another Internet service, which in any way involves the use of the Site or any equipment owned or operated by HHAC in connection with the Site. For purposes of this provision, merely making one's e-mail address accessible to the public shall not constitute a request or invitation to receive messages. 7. PASSWORD, SINGLE-USER AND MULTI-USER LICENSE. As part of the registration process, you will be issued a password. You may also purchase additional passwords. You are solely responsible for maintaining the confidentiality of any password you use to access the Fee-Based Services, and agree that HHAC will have no obligations with regard thereto. Furthermore you understand that you are purchasing the right for you alone - a single user - to access and utilize the materials on the HHAC Site. You specifically agree not to transfer, lend, assign, or otherwise allow anyone, other than yourself, to use your password or to use the HHAC Site. If you purchase additional passwords, you are purchasing the right to allow multiple Users from your Organization to access and utilize the materials on the HHAC Site. Likewise, each User specifically agrees not to transfer, lend, assign, or otherwise allow anyone, other than the User, to use the password or to use the HHAC Site. 8. PRIVACY AND SECURITY STATEMENT. HHAC warrants that this site is a secure site to the best extent that today's technology provides. For a more complete statement of our privacy policy please see Safety and Security of Your Records. 9. GOVERNING LAW/DISPUTES/JURY WAIVER. This Agreement shall be governed by and construed in accordance with the laws of the State of Maine, which shall have the jurisdiction to resolve any and all disputes arising between the parties to this Agreement. The parties further agree that in the event that a lawsuit is filed in the State of Maine to resolve a dispute arising in connection with this Agreement, the lawsuit shall proceed to completion before a Judge, the parties having specifically waived the right to have a jury trial. 10. ENTIRE AGREEMENT. This Agreement constitutes the entire Agreement of the parties with respect to the subject matter of this Agreement. It can only be amended in writing, signed by both parties. In the event that any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall be valid and enforceable to the fullest extent provided by the law, unless to do so would defeat the purpose of the Agreement. 11.
